PROGRAM END-USER LICENSE AGREEMENT

• Parties This Client or End User License Agreement (the “Agreement”) is a binding agreement by and between:
  
  

  • Coach: Francis Bolivia of FB Coaching Test ("Coach")

  • Client: The individual agreeing to these terms via the digital checkout or registration form ("Client").
    
    

  Mandy Morris and Authentic Living LLC (collectively “Creator”) are the authors and creators of the program content, and have provided a non-exclusive limited license to the Coach for the program content. The Creator is an intended third-party beneficiary of this Agreement.
  
  

• Purpose of Agreement This Agreement exists to: Protect Creator’s brands, content, and intellectual property, while allowing Coach to provide an end-user license to Client to utilize the program materials in accordance with the terms of this Agreement, for the fees agreed upon between the Coach and Client.
  
  

• Licensed Programs and License Fee The following programs are covered under this Agreement:
  

  • Authentic Creation

  • 6-Week Self-Coaching Immersion

  • Mandy 365

    (The programs indicated above are hereinafter referred to as the “Licensed Programs.”)

  
  The Deliverables for each Licensed Program consist of a series of audio-visual and/or audio recordings of which Creator is the author and copyright owner. Creator may update, modify, or enhance the Licensed Programs at its discretion.
  

  
  License Fee: In consideration of the grant of rights and license in this Agreement, Client shall pay Coach a License Fee in the amount and manner agreed upon at checkout.
  
  

  COACH PROVIDES THE LICENSED PROGRAM(S) SOLELY ON THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND ON THE CONDITION THAT CLIENT ACCEPTS AND COMPLIES WITH THEM. BY CHECKING THE "I AGREE" BOX ON THE REGISTRATION FORM, YOU (A) ACCEPT THIS AGREEMENT AND AGREE THAT CLIENT IS LEGALLY BOUND BY ITS TERMS; AND (B) REPRESENT AND WARRANT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT.
  
  

  IF CLIENT DOES NOT AGREE TO THE TERMS OF THIS AGREEMENT, COACH WILL NOT AND DOES NOT LICENSE THE LICENSED PROGRAM(S) TO CLIENT AND YOU MAY NOT ACCESS THE PROGRAMS OR CONTENT.
  
  
  
  

• Limited User License Subject to the terms and conditions in this Agreement, and in consideration of the License Fee, Client shall be provided a single-use, end-user, non-exclusive, non-assignable, non-transferrable, revocable personal use license to access and use the Licensed Programs. Client understands and agrees that this end-user limited license does not afford it any right to distribute, replicate, copy/reproduce, broadcast, sell, modify, or make derivative works from the Licensed Programs, or to utilize Creator’s trademarks, likeness or image. Any such conduct shall result in immediate revocation of the license rights under this Agreement and may also give rise to liability for infringement of intellectual property rights of the Creator and/or Coach. This license does not grant ownership of the Licensed Programs or their underlying intellectual property. All rights not expressly granted to Client under this Agreement are reserved to Creator and/or Coach.
  
  
  

• Intellectual Property Ownership Client understands and agrees that the right to utilize the Licensed Program(s) are provided under a license, and not sold, to Client. Client does not acquire any ownership interest in the Licensed Program(s). Creator is the author of, and owner of the copyright and other intellectual property rights, in the Licensed Programs. Creator is also the owner of various trademarks and tradenames, including but not limited to: Mandy Morris, AUTHENTIC CREATION, AUTHENTIC LIVING, and MANDY MORRIS. Creator is also the owner of intellectual property rights and rights of publicity in the likeness and image of Mandy Morris. Except for the limited personal use license granted above, no other rights to utilize the intellectual property of Creator or Coach are granted to you as a Client.
  
  
  

• Termination Coach reserves the right to suspend or revoke access to the Licensed Programs if Client misuses or misrepresents the Licensed Programs, breaches any other terms of this Agreement, or engages in conduct harmful to the Creator or Coach’s brands or intellectual property. Upon termination, all access to and use of Licensed Programs and Creator and/or Coach’s intellectual property shall cease immediately.
  
  
  

• Limitation of Liability The Licensed Programs are provided “as is.” Creator and Coach make no guarantees regarding Client’s results, income, or outcomes from use of the Licensed Programs. Neither Coach nor Creator shall be liable for any damages resulting from your access or use to the Licensed Programs.
  
  
  

• Relationship of the Parties Nothing contained in this Agreement will be construed as creating any agency, partnership, joint venture, other form of joint enterprise, franchise, employment, or fiduciary relationship between the parties.
  
  
  

• Governing Law, Venue, and Dispute Resolution This Agreement, and all matters arising out of or relating to this Agreement, shall be governed by and construed in accordance with the laws of Colorado. In the event any dispute arises under this Agreement that cannot be resolved through good faith discussions between the parties, such dispute shall be venued in Colorado and the parties consent to personal jurisdiction and venue being exercised by the courts and tribunals in Colorado.
